Definitions
In these Terms & Conditions:
- "Anantara Counsel", "we", "us", "our" refers to Anantara Counsel, operating from 519 Asoke Montri Road, Khlong Toei Nuea, Watthana, Bangkok 10110, Thailand.
- "Client", "you", "your" refers to the individual or entity that engages our services or uses this website.
- "Services" refers to any patent filing, patentability assessment, intellectual property advisory, or related professional service provided by us.
- "Engagement Letter" means the written agreement issued by us confirming the scope of work, fees, and terms applicable to a specific matter.
- "Official Fees" means fees charged directly by patent offices, government bodies, or third-party service providers, which are separate from our professional fees.
Acceptance of Terms
By using this website or engaging our services in any form — including submitting an enquiry form, sending an email, or signing an Engagement Letter — you confirm that you have read, understood, and agree to these terms. If you do not agree, please refrain from using this website or engaging our services.
These terms apply to all visitors to the website and to all clients, whether individuals or corporate entities.
Scope of Services
We offer three principal services, described in detail on our Solutions page:
- Patentability Assessment — a written opinion on novelty and inventive step under the Thai Patent Act.
- Thai Patent Application Drafting and Filing — preparation and prosecution of a patent application before the Thai patent office.
- International Filing Programme via PCT and National Phase Entries — a coordinated multi-jurisdiction filing programme.
The precise scope of any engagement will be set out in the Engagement Letter issued prior to commencement of work. We do not provide general legal advice unrelated to patent and intellectual property matters.
Engagement and Instructions
Work on a matter will commence upon signature of an Engagement Letter and receipt of any advance payment specified therein. We will act on written instructions from the authorised contact named in the Engagement Letter. We may, at our discretion, act on oral instructions confirmed promptly in writing.
We are entitled to act on instructions from any person who reasonably appears to be authorised by the Client, unless we have been notified in writing to the contrary.
Fees, Disbursements, and Payment
Our professional fees for each service are as set out on our website and confirmed in the Engagement Letter. All fees are quoted in Thai Baht and are exclusive of Official Fees, overseas associate charges, and any applicable taxes unless otherwise stated.
Official Fees — fees payable to government patent offices and third-party service providers — are not included in our quoted professional fees. We will provide estimates of Official Fees in advance where possible, but these may be subject to change without notice by the relevant authority.
Invoices are payable within 14 days of issue unless otherwise agreed. We reserve the right to suspend work on a matter if payment is not received by the due date and to charge interest on overdue amounts at a rate of 1.5% per month from the due date until the date of payment.
Client Obligations
You agree to:
- Provide accurate, complete, and timely information and instructions as required for us to carry out the services.
- Inform us promptly of any deadlines, priority dates, or filing dates relevant to the matter.
- Review and respond to draft documents and correspondence within any timeframe indicated.
- Notify us of any change in your contact details, corporate structure, or ownership of the invention.
We will not be responsible for adverse outcomes arising from incorrect, incomplete, or delayed information provided by you.
Intellectual Property
All intellectual property rights in materials produced by us in the course of an engagement — including patent specifications, claim drafts, and written analyses — vest in Anantara Counsel until all fees relating to the matter have been paid in full, at which point those rights transfer to the Client.
All content on this website, including text, graphics, and design elements, is the property of Anantara Counsel and may not be reproduced without written permission.
Confidentiality
We will treat all information disclosed to us in the course of an engagement as confidential and will not disclose it to third parties without your consent, except where required to carry out the services (such as correspondence with patent offices or overseas associates), where required by law, or where the information is already in the public domain.
Invention disclosures submitted via our enquiry forms are treated with the same degree of care, but we recommend avoiding the disclosure of sensitive technical details until a formal engagement has been established.
Limitation of Liability
We will carry out our services with reasonable skill and care. However, the grant of a patent is at the discretion of the relevant patent office and is subject to examination outcomes we cannot control. We do not warrant any particular outcome in respect of any application or assessment.
Our liability to you arising from any engagement, whether in contract, tort, or otherwise, will not exceed the total professional fees paid by you to us for the specific matter giving rise to the claim. We will not be liable for indirect, consequential, or special losses.
Nothing in these terms limits our liability for fraud, fraudulent misrepresentation, or any other liability that cannot lawfully be excluded.
Termination
Either party may terminate an engagement by giving 14 days written notice. On termination, you will be liable for all fees and disbursements incurred up to the date of termination. We will provide you with a summary of the status of the matter and transfer any files held on your behalf upon receipt of outstanding payments.
We reserve the right to terminate an engagement with immediate effect if we become aware of circumstances that would make it professionally improper to continue.
Governing Law
These Terms & Conditions and any engagement entered into on the basis of them are governed by the laws of Thailand. Any dispute arising from these terms or from an engagement will be subject to the exclusive jurisdiction of the courts of Thailand, without prejudice to our right to seek emergency relief in any jurisdiction.
Amendments
We may update these Terms & Conditions from time to time. The revised version will be published on this page with an updated document date. Continued use of the website or services after any update constitutes acceptance of the revised terms. We recommend reviewing this page periodically.
